Compensation Issues in M&A

Acquisition integrations are often a source of significant HR-related challenges that have long-lasting impact. With management’s attention focused on the commercial and financial aspects of the transaction, the complexity of tasks and effort required to integrate compensation programs and HR-systems integrations is often overlooked. Although the compensation programs and structures of the target and the buyer may not always be viewed as an important consideration in corporate transactions until problems arise, there are significant advantages to considering potential implications and risks, as well as planning opportunities, in advance of the transaction. This session will explore some of the most important considerations and some of the most common issues that arise as a result of transactions and practical solutions for solving those issues.

Speaker Biography:

John Schultz, Managing Director, Alvarez & Marsal

John Schultz is a Managing Director with A&M Taxand, LLC in Denver, Colorado, specializing in compensation and benefits planning and consulting. Mr. Schultz brings more than 23 years of experience, Mr. Schultz provides on-going consulting to many organizations regarding benchmarking, designing and implementing compensation structures (both executive compensation as well as broad-based compensation), including base salary, bonus structures and long-term incentive plans.

Mr. Schultz also consults regularly on all types of employee benefit and executive compensation programs as well as executive employment and change-in-control agreements. Mr. Schultz is an expert in all aspects of equity compensation, including the tax and accounting implications. Mr. Schultz regularly coordinates employee benefit and executive compensation issues in connection with mergers and acquisitions, including analysis of golden parachute issues, employment agreement/change in control payments, and other potential benefit plan liabilities.

Finally, Mr. Schultz has provided litigation support services in connection with executive compensation matters, including reasonable compensation analysis, and has provided expert witness testimony on executive compensation.

Prior to joining A&M, Mr. Schultz was a co-founder and managing partner of Compensation & Benefit Solutions, a leading provider of compensation and benefit services based out of Denver. Previously, Mr. Schultz was partner-in-charge of KPMG’s Denver Compensation and Benefits practice, and the national partner-in-charge of the Executive Compensation practice for Smart Business Advisory and Consulting, LLC.

Earlier, Mr. Schultz was the practice leader for the Denver Compensation and Benefits practice of Deloitte and Touche, LLP, where he also focused on executive compensation, and in addition oversaw a small retirement plan administration practice.

Mr. Schultz earned a bachelor's in finance from the University of Florida, a Juris Doctor from the Florida State University College of Law, and a LL.M. in taxation from the University of Denver. Mr. Schultz is licensed to practice law in Colorado and Florida.

Mr. Schultz is a member of the Colorado, Denver, and Florida Bar Associations. Mr. Schultz is also a member of the Western Pension & Benefits Conference, and a former steering committee member of the Denver Chapter.


Brennan Rittenhouse, Managing Director, Alvarez & Marsal

Brennan Rittenhouse is a Managing Director with A&M Taxand, LLC in Denver, Colorado, specializing in compensation and benefits planning and consulting.

He brings an expertise in all areas of executive, independent director, and broad-based compensation consulting. Some of the areas in which he has significant experience include compensation benchmarking, designing and implementing both short- and long-term incentive plans, and creating salary structures.

He is also a subject matter expert in all areas of equity plan administration, including systems, implementation, accounting, reporting, and tax. Additionally, Mr. Rittenhouse has worked closely with Internal Revenue Code Section 409A, consulted on various aspects of 401(k) plans, and performed compliance reviews of both qualified and nonqualified retirement plans, and health and welfare plans.

Prior to joining A&M, Mr. Rittenhouse was a Managing Director with Compensation & Benefit Solutions, a leading provider of compensation and benefit services based out of Denver. Previously, he served as the Head of Compensation for Vista Outdoor, a public company outside of Salt Lake City, UT, and also worked in the federal tax group at the accounting firm Grant Thornton, LP.

Mr. Rittenhouse earned his law degree from Florida State University College of Law. During law school he participated in the Volunteer Income Tax Assistance program by assisting underprivileged families with preparing their tax returns.

After graduating and being admitted to the Colorado Bar, Mr. Rittenhouse earned his LL.M. in Taxation from the University of Denver. While attending the University of Denver, he worked as a contract attorney with Anderson & Jahde, P.C. where he assisted in writing CLE courses related to estate planning. Mr. Rittenhouse earned his bachelor's degree in legal studies from the University of Central Florida.


Josh Henke, Senior Director, Alvarez & Marsal

Josh Henke is a Senior Director with Alvarez & Marsal Taxand’s Compensation and Benefits practice in Houston. Mr. Henke brings over 15 years of experience, and specializes in executive, independent director, and general employee compensation and retirement plan programs.

Mr. Henke has extensive experience in the creation, design and implementation of compensation and retirement plan programs for private companies, pre-IPO, IPO execution, M&A transaction, and mature public companies. He has also prepared, designed and implemented compensation structure changes for U.S.-based corporations as they relocated corporate headquarters and tax domiciles to foreign countries such as Switzerland and Ireland. His international experience includes Canada, Western & Eastern Europe, South America, South East Asia, Australia, and Russia.

Prior to joining A&M, Mr. Henke was with Compensation & Benefit Solutions as a Director and Practice Leader in Houston. He also spent over 11 years as Executive Director with a Houston-based executive compensation and corporate governance consultancy. He currently serves as an Advisory Board member for National Association of Corporate Directors Texas TriCities in Houston and Austin. He has served on the Board of Houston Compensation & Benefits as President with past roles as Vice President and Programs Director. He is a member of WorldatWork, National Association of Corporate Directors, and Houston Compensation & Benefits.

Mr. Henke earned his undergraduate business degree in marketing from Texas State University and his Certified Executive Compensation Professional and Certified Compensation Professional certifications from WorldatWork.
